These Terms of Service ("Terms") govern your access to and use of FeedVay.ai (the "Service"), operated by LookVay ("we", "us", "our"). By creating an account or using the Service in any way, you agree to be bound by these Terms.

You, the user, are solely and entirely responsible for all content generated, published, or distributed through your account.

Note on Autonomous Mode: When operating in fully autonomous mode, FeedVay generates and publishes content without your prior review. By enabling autonomous mode, you accept full responsibility for all content published automatically. We strongly recommend using the email approval feature to review posts before they go live, particularly for accounts connected to social media platforms.

4. Photographs and Personal Data

4.1 Face Photographs (Personal Mode)

When you upload face photographs for Personal Mode:

Our Commitment: We store your face photographs and profile images on our servers for the duration of your account to enable ongoing content generation. We do not use uploaded photos to train, fine-tune, or improve any AI model owned or operated by LookVay. We do not sell, share, or license your photographs to third parties for purposes other than providing the Service. You may request deletion at any time. However, when photos are transmitted to third-party AI providers for processing, we cannot control, verify, or guarantee how those providers handle, retain, or use your data. By using Personal Mode, you accept this risk.

Ownership of AI-generated content varies by jurisdiction and is an evolving area of law. To the extent permitted by applicable law:

7. Subscription, Tokens, and Payments

7.1 Subscription Plans

FeedVay offers subscription plans with varying features and token allocations. By subscribing, you agree to pay the fees associated with your chosen plan. All fees are quoted in euros (EUR) unless otherwise stated.

7.2 Token System

FeedVay uses a unified token system. Tokens are consumed when generating content. Different content types (text captions, images, videos) consume different amounts of tokens. Token allocations reset according to your billing cycle. Unused tokens do not roll over unless explicitly stated in your plan.

7.3 Billing and Renewal

Due to the nature of AI-generated content (which is delivered immediately upon generation), all sales are final. We do not offer refunds for consumed tokens or partially used subscription periods. If you experience a technical issue that prevents content generation, please contact us and we will evaluate your case individually.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, secure, or error-free; (c) AI-generated content will be accurate, appropriate, non-infringing, or suitable for any particular purpose; (d) any defects will be corrected.

We do not control these services and are not responsible for their availability, accuracy, policies, or practices. Your use of third-party services through FeedVay is governed by their respective terms of service and privacy policies. In particular, when your data (including face photographs) is transmitted to third-party AI providers for content generation, we bear no responsibility for how those providers handle, store, cache, process, retain, or use your data. We cannot guarantee that third-party providers will not use your data for their own purposes, including but not limited to AI model training.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of laws provisions.

14.2 Informal Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation for a period of at least 30 days.

14.3 Jurisdiction

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Italy. For EU consumers, this does not affect your right to bring proceedings in the courts of your country of residence.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LookVay regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your account or these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or third-party service disruptions.
